This Terms of Use Agreement (“Agreement”) is a legally binding contract between you (the “User”) and MSP Sales Revolution, LLC (“MSPSR,” “we,” or “us”). It governs your access to and use of our website(s), services, communities, and any related offerings (collectively, the “Services”). By accessing or using any MSPSR Service, you accept and agree to these Terms.
For purposes of this Agreement, the “MSP AI Revenue Engine” refers to MSPSR’s six-month AI revenue enablement program for managed service providers. The AI Monetization Launchpad is the course component inside the broader MSP AI Revenue Engine program.
Overview & Acceptance
These Terms apply to all visitors, members, and purchasers of any MSPSR content or services, including but not limited to:
- MSPSR websites, mobile sites, and digital platforms
- Online programs, digital courses, or coaching offers
- Communities, forums, and communication channels (e.g., Circle, Facebook Groups)
By using our Services, you acknowledge that:
- You are at least 18 years old
- You’ve read, understood, and agree to these Terms
- You will comply with our community standards and payment policies
We reserve the right to update these Terms at any time. Continued use of the Services means you accept any updated version.
Accounts, Payments & Membership
Creating an Account
To access some Services, you must provide accurate contact and billing information. You are responsible for maintaining confidentiality of your login credentials.
Payments & Billing
By purchasing from MSPSR, you agree to:
- Pay the fees specified at checkout
- Maintain a valid payment method on file (if applicable)
- Allow automatic billing to the card on file as applicable, if such billing is part of your selected program
Certain MSPSR programs may be month-to-month, while others require a defined commitment term. The MSP AI Revenue Engine is a six-month commitment. By enrolling in the MSP AI Revenue Engine, you agree to remain enrolled and financially responsible for the full six-month term.
If you elect to spread payments over six months, this does not convert the program into a cancellable monthly subscription. The payment schedule is a courtesy installment arrangement only. You remain responsible for the full six-month investment.
After the initial six-month term ends, your participation will automatically continue on a month-to-month basis at the same monthly investment unless cancelled in accordance with the cancellation terms below.
Cancellations & Refunds
Revenue Results Guarantee — MSP AI Revenue Engine
MSP Sales Revolution (“MSPSR”) offers a limited revenue results guarantee exclusively for participants in the MSP AI Revenue Engine.
The MSP AI Revenue Engine is designed to help managed service providers create, package, market, and sell AI-related services. Because results depend on participant execution, market conditions, sales activity, offer quality, client relationships, pricing, follow-up, implementation, and other factors outside MSPSR’s control, MSPSR does not guarantee any specific amount of income, profit, client acquisition, or business outcome.
However, if you fully complete the required program implementation activities and generate zero revenue from AI-related services during the initial six-month term, you may be eligible for the limited remedy described below.
For purposes of this guarantee, “revenue” means a signed agreement for AI-related services.
To qualify for guarantee review, you must complete all of the following:
- Complete the AI Monetization Launchpad course component within the first eight weeks of your MSP AI Revenue Engine start date.
- Submit all required homework assignments inside the Circle community platform by the stated deadlines.
- Complete at least four out of the six revenue sprints during the initial six-month program term.
For purposes of this guarantee, a revenue sprint is considered “complete” only if you:
- attend the revenue sprint call live, or watch the full recording if using one of the permitted recording exceptions; and
- complete the assigned revenue sprint activities.
You may use a full recording watch in place of live attendance for no more than one of the four revenue sprints required for guarantee eligibility.
You must also:
- Generate zero revenue from AI-related services during the initial six-month term.
- Provide reasonable documentation upon request, which may include screenshots, emails sent, outreach records, workshop attendance or registration records, proposal activity, CRM records, call notes, sales activity records, or other evidence reasonably necessary for MSPSR to verify participation and implementation.
Guarantee Review Process
To request review under this guarantee:
- Email jennifer@mspsalesrevolution.com
- Use the subject line: “REVENUE GUARANTEE REVIEW.”
- Include proof of course completion, homework submission, revenue sprint participation, and implementation activity.
- Submit your request no later than 10 business days after the end of your initial six-month MSP AI Revenue Engine term.
MSPSR may request additional documentation in order to evaluate whether the guarantee requirements were met. Failure to provide requested documentation may result in denial of the guarantee request.
Limited Remedy
If MSPSR determines that you have satisfied all guarantee requirements, your sole remedy will be a three-month extension of program access and support.
During the three-month extension, you must attend all live calls, complete all three revenue sprints fully and completely, and complete the assigned sprint activities.
This three-month extension is the exclusive remedy available under this guarantee. No refund is provided under this guarantee.
Important Notes
This guarantee applies only to the MSP AI Revenue Engine and does not apply to standalone courses, month-to-month memberships, SaaS tools, third-party subscriptions, optional add-ons, implementation services, fulfillment services, or other MSPSR offers unless expressly stated in writing.
No guarantee remedy will be issued if program access is revoked due to nonpayment, violation of this Agreement, violation of the MSPSR Code of Conduct, misuse of community resources, or failure to complete the required implementation activities.
Upon approval of any guarantee remedy, your access may be extended as described above. MSPSR reserves the right to define the scope of extended access, including access to coaching, community resources, templates, recordings, SaaS access provided through MSPSR, and related program assets.
Except for the Revenue Results Guarantee described above, all purchases are final and non-refundable.
Month-to-month memberships may be cancelled with at least 15 business days’ written notice prior to the next billing date by contacting jennifer@mspsalesrevolution.com.
The MSP AI Revenue Engine requires a six-month minimum commitment and may not be cancelled during the initial six-month term. If you are enrolled in the MSP AI Revenue Engine, you are financially responsible for the full six-month commitment, even if you stop attending sessions, stop using the materials, discontinue participation, or elect not to use included resources.
After the initial six-month term, your participation will continue month-to-month at the same monthly investment and may be cancelled with at least 15 business days’ written notice prior to the next billing date.
Program access will continue during the active paid term unless otherwise stated in writing or unless access is suspended or revoked due to violation of this Agreement, violation of the MSPSR Code of Conduct, payment failure, or other applicable program policies.
Payment Plan Terms
If you select an installment payment option, including monthly payments over the six-month MSP AI Revenue Engine term, please note that this is not a cancellable monthly subscription during the initial six-month commitment period. It is a courtesy payment arrangement that allows the total program fee to be divided into installments.
All scheduled payments must be made on or before their due dates. If payment is not received on time, we reserve the right to suspend your access to the program, community, materials, live sessions, recordings, templates, SaaS tools, and related resources until payment is brought current.
Suspension of access does not eliminate your responsibility to complete all remaining payments due under the six-month commitment, and no refunds will be provided except as expressly stated in this Agreement.
Third-Party SaaS Tools and Technology Access
As part of certain MSPSR programs, including the MSP AI Revenue Engine, MSPSR may provide, facilitate, recommend, resell, include, or otherwise make available access to certain third-party software-as-a-service tools, technology platforms, AI tools, automation tools, or related software solutions (“Third-Party SaaS Tools”).
Some Third-Party SaaS Tools may be included in your program, some may be offered at no additional cost, some may be paid subscriptions, and some may be optional add-ons. Unless otherwise stated in writing, Third-Party SaaS Tool subscriptions are month-to-month and separate from your six-month MSP AI Revenue Engine program commitment.
Third-Party SaaS Tools are owned, operated, hosted, maintained, and controlled by their respective third-party providers, not by MSPSR. Your use of any Third-Party SaaS Tool may be subject to separate terms of service, privacy policies, data processing terms, acceptable use policies, subscription terms, or other agreements required by the applicable third-party provider.
MSPSR is not responsible for the performance, uptime, security, availability, accuracy, functionality, support, billing practices, data handling, legal compliance, privacy practices, product changes, errors, omissions, or failures of any Third-Party SaaS Tool. To the maximum extent permitted by law, all liability related to any Third-Party SaaS Tool remains with the applicable third-party provider.
MSPSR reserves the right to change, pause, remove, discontinue, substitute, or replace any Third-Party SaaS Tool that MSPSR provides, facilitates, recommends, resells, includes, or otherwise makes available through the program at any time. If MSPSR changes, pauses, removes, discontinues, substitutes, or replaces a Third-Party SaaS Tool, this does not cancel or reduce your payment obligations under the MSP AI Revenue Engine or any other MSPSR program.
After the initial six-month term, if you exit the MSP AI Revenue Engine, continued access to any Third-Party SaaS Tools will depend on the applicable tool, provider terms, and purchase arrangement. You may be able to continue purchasing certain SaaS subscriptions through MSPSR, if available, or directly through the applicable SaaS provider. Continued SaaS access is optional and not required after your program term ends unless separately agreed in writing.
Program Access & Community Conduct
Community Use
Access to private communities (e.g., coaching groups or member forums) is part of your membership. These areas are for support and connection, not for:
- Self-promotion or solicitation
- Recruiting or contacting members without consent
- Sharing harmful, harassing, defamatory, or false content
Code of Conduct
You agree not to:
- Share your login or license with others
- Violate any laws or intellectual property rights
- Disrupt, interfere, or attempt unauthorized access to our platforms
MSPSR reserves the right to remove members for violating these rules.
Confidentiality and Member Information
During your participation in MSPSR programs, you may receive access to confidential, proprietary, sensitive, or non-public information belonging to MSPSR, other members, participants, clients, vendors, partners, or third parties.
You agree not to disclose, share, publish, distribute, or use confidential or non-public information obtained through MSPSR programs except for your own internal business implementation.
MSPSR will also make reasonable efforts to protect confidential participant and client information. However, MSPSR may use redacted or anonymized examples, implementation details, screenshots, homework submissions, call discussions, or program materials for training, marketing, program improvement, internal use, and educational purposes.
These confidentiality obligations survive the end of your participation in MSPSR programs.
Intellectual Property & Usage Rights
All materials provided by MSPSR — including frameworks, videos, downloads, playbooks, and course content — are the intellectual property of MSPSR.
You receive a non-transferable, limited license to use the content for your own business only. You may not:
- Resell, reproduce, or distribute our materials
- Teach our proprietary systems as your own
- Create derivative works or incorporate our systems into your own programs
Recordings, Testimonials, and Use of Implementation Examples
You acknowledge and agree that MSPSR programs, coaching calls, group sessions, implementation workshops, community discussions, and related program activities may be recorded, documented, screenshotted, summarized, clipped, or otherwise captured by MSPSR.
You grant MSPSR permission to use call recordings, video clips, audio clips, screenshots, chat excerpts, testimonials, feedback, homework submissions, implementation examples, success stories, use cases, and related materials for educational, training, internal, program improvement, marketing, promotional, and commercial purposes.
This permission includes the right to use such materials inside MSPSR programs and externally in marketing, including but not limited to websites, landing pages, email marketing, social media, webinars, presentations, sales materials, case studies, advertisements, and other promotional materials.
This permission also includes the right to use your company name, company logo, participant name, image, voice, and call clips in connection with the materials described above.
MSPSR will make reasonable efforts to redact sensitive company information, confidential business information, private financial information, client names, client data, and other sensitive client information before using materials publicly.
If you would like a specific session, week, clip, screenshot, example, testimonial, or portion of your participation not to be shared publicly, or removed after publication, you may submit a written request to jennifer@mspsalesrevolution.com identifying the specific material. MSPSR will make reasonable efforts to honor such requests, including reasonable efforts to remove materials already published or distributed where practical.
Disclaimers & Limitations
No Professional Advice
MSPSR provides training and educational material only.
We do not provide legal, financial, or accounting advice. Participants should consult qualified professionals for such guidance.
Vendors, Partners, SaaS Providers, and Fulfillment Partners
From time to time, MSPSR may introduce, recommend, demonstrate, resell, refer, partner with, or otherwise discuss third-party vendors, consultants, software providers, SaaS providers, implementation partners, fulfillment partners, or service providers.
Unless expressly stated otherwise in writing, these third parties are separate from MSPSR. MSPSR does not own, control, manage, supervise, or guarantee their work, tools, advice, services, deliverables, support, pricing, performance, availability, business practices, or results.
Any agreement, purchase, subscription, implementation, support request, or service relationship between you and a third-party vendor, partner, SaaS provider, consultant, or fulfillment partner is subject to that third party’s own terms, policies, pricing, and business practices.
No Guaranteed Results
While MSPSR provides tools, coaching, frameworks, education, and implementation support to help MSPs create AI revenue opportunities, we do not guarantee specific income, profit, client acquisition, sales volume, or business outcomes except for the limited Revenue Results Guarantee expressly described in this Agreement. Individual results depend on many factors outside our control, including your execution, market conditions, sales activity, client relationships, pricing, offer quality, follow-up, and implementation.
Limitation of Liability
To the maximum extent permitted by law:
- MSPSR will not be liable for indirect, incidental, or consequential damages
- Our total liability is limited to the amount you paid for the Service in question
Dispute Resolution & Legal Terms
Good-Faith Resolution
If you have a dispute with MSPSR, you must contact us at jennifer@mspsalesrevolution.com within 7 business days of the issue arising. We will attempt to resolve the matter within 45 days.
Governing Law & Jurisdiction
This Agreement is governed by the laws of the State of Maryland. All legal proceedings must be brought in Maryland courts.
No Jury or Class Actions
You waive the right to a jury trial. Disputes must be resolved individually — no class or representative actions are allowed.
Additional Legal Terms
- We may update, suspend, or discontinue services at any time
- You may not assign your rights under this Agreement without our written consent
- If any provision of this Agreement is found unenforceable, the rest remains in effect
